Terms of Service

These Terms of Service ("Terms") govern your access to and use of LakeLogic's platform, including LakeLogic (open-source) and the LakeLogic Cloud SaaS application (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization.

LakeLogic provides:

• LakeLogic (OSS): An open-source runtime data contract engine (Apache 2.0 license)
• LakeLogic Cloud Platform: A SaaS application for data lineage mapping, contract generation, and governance
• AI Features: AI-powered contract generation, incident resolution, and metadata enrichment (Zeus)
• Integrations: Connections to data platforms, warehouses, and documentation systems

LakeLogic (OSS) is free and always will be. LakeLogic Cloud platform features require a paid subscription.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your use complies with applicable laws
• Notifying us immediately of unauthorized access

You must provide accurate registration information and keep it up to date.

You agree NOT to:

• Use the Service for illegal purposes or to violate any laws
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated tools to scrape or extract data
• Reverse engineer, decompile, or disassemble the Service (except LakeLogic OSS)
• Resell or redistribute the Service without authorization
• Upload malware, viruses, or malicious code
• Infringe on intellectual property rights

Violation of acceptable use may result in immediate account suspension or termination.

Your Data: You retain all rights to your data, metadata, and content.

License to Us: You grant us a limited license to process your metadata solely to provide the Service. This includes:

• Analyzing schemas and SQL queries
• Generating lineage maps and documentation
• Providing AI-powered insights

We do NOT claim ownership of your data and will NOT use it for purposes outside the Service without your consent.

Data Processing: Where we process personal data on your behalf, we act as your processor and you as the controller. Our Privacy Policy describes our handling, and a Data Processing Addendum (DPA) incorporating UK GDPR Art. 28 terms is available on request for customers who require one.

Pricing: SaaS pricing is provided directly by our team during sales discussions — contact us via our contact page. The LakeLogic Open Source distribution is free under Apache 2.0.

Billing:

• Subscriptions are billed monthly or annually in advance
• Fees are non-refundable except as required by law
• We use Stripe for payment processing (PCI DSS compliant)
• You authorize us to charge your payment method on file

Changes: We may change pricing with 30 days' notice. Changes apply at your next renewal.

Cancellation: You can cancel anytime. Access continues until the end of your billing period.

Uptime: We strive for 99.9% uptime but cannot guarantee uninterrupted access.

Maintenance: We may perform scheduled maintenance with advance notice.

Support:

• LakeLogic OSS: Community support via GitHub Issues
• Growth Plan: Email support (24-48 hour response time)
• Enterprise Plan: Priority support with SLA guarantees

LakeLogic Cloud Platform: All rights, title, and interest in the Service (excluding LakeLogic OSS) are owned by LakeLogic, Ltd.

LakeLogic OSS: Licensed under Apache 2.0. See LICENSE.

Trademarks: "LakeLogic" and the LakeLogic logo are trademarks of LakeLogic, Ltd.

You agree to indemnify and hold harmless LakeLogic, Ltd. and its officers, employees, and agents from any claims, damages, liabilities, and reasonable legal costs arising out of:

• Your use of the Service in breach of these Terms or applicable law
• Content or data you submit, including any infringement of third-party rights
• Your violation of any rights of another person or entity

This obligation survives termination of your account.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

LakeLogic Cloud and LakeLogic are provided "AS IS" without warranties of any kind. We disclaim all warranties, express or implied, including fitness for a particular purpose.

We are NOT liable for:

• Indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities
• Damages exceeding fees paid in the last 12 months

Nothing in these Terms limits liability that cannot be limited by law (e.g. for death or personal injury caused by negligence, or for fraud).

You must comply with all applicable export control and sanctions laws (including those of the UK, EU, and US). You represent that you are not located in, or a resident of, a sanctioned country, and are not on any restricted-party list. You may not use the Service in violation of these laws.

By You: You can close your account anytime from account settings.

By Us: We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay fees
• Use the Service in harmful ways

Upon termination, your access ends immediately. We'll delete your data per our Privacy Policy.

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that we may seek injunctive relief in any competent court to protect our intellectual property. We encourage you to contact us first so we can try to resolve any issue informally.

We may update these Terms. We'll notify you of material changes via email and in-app notice at least 30 days before they take effect, and update the "Last updated" date.

Continued use after changes means you accept the new Terms.

Entire Agreement: These Terms constitute the entire agreement between you and LakeLogic, Ltd.

Severability: If any provision is unenforceable, the rest remains in effect.

No Waiver: Failure to enforce a right doesn't waive that right.

Assignment: You can't transfer your rights. We can assign our rights to affiliates or acquirers.
